End User Licence Agreement

Last updated: 6 November 2026

Read this carefully. This End User Licence Agreement (“EULA”) is a binding agreement between you and Elijah Studio, Ariana, Tunisia (“Elijah Studio”, “we”, “us”) for the BACKROOM software, including its engine, interface, updates, documentation and any licence keys (the “Software”). By creating an account, installing, activating or using the Software you accept this EULA. If you do not accept it, do not install or use the Software. If you accept on behalf of a company, you confirm you have authority to bind it, and “you” includes that company.

1. Licensed, not sold

The Software is licensed to you, not sold. Subject to this EULA and to an active trial or paid plan, we grant you a limited, personal, revocable, non-exclusive, non-transferable and non-sublicensable licence to install and use the Software in executable form on a Mac you own or control, activated on one Mac at a time per licence, to edit your own and your clients’ projects. You may use the results commercially. All rights not expressly granted are reserved by Elijah Studio.

2. Ownership

The Software — including its source and object code, sync and directing algorithms, models, data structures, file formats, interface, design, text, graphics, and the BACKROOM name and logo — is owned by Elijah Studio and protected by copyright (including Tunisian Law No. 94-36 on literary and artistic property and the Berne Convention), trade secret, trademark and other laws worldwide. Nothing in this EULA transfers any ownership to you.

3. What you must not do

You must not, and must not allow or help anyone else to:

  1. copy the Software (other than as installed by our installer), or modify, adapt, translate or create derivative works of it;
  2. reverse engineer, decompile, disassemble, decrypt, unpack, or otherwise attempt to derive the source code, algorithms, models, file formats or underlying ideas of the Software, or inspect its network traffic in order to do so — except only to the extent that applicable law expressly permits this despite this restriction;
  3. remove, disable, bypass, tamper with or circumvent the licence check, activation, trial limit, code signature or any other technical protection, or use, make or distribute any crack, patch, key generator, modified build or emulated licence server;
  4. share your account or licence, let more than one person use one licence, or use the Software on more Macs at the same time than you have licences for;
  5. sell, resell, rent, lease, lend, sublicense, distribute, publish, host or otherwise make the Software or its functionality available to any third party, including as a hosted, remote or automated service;
  6. create more than one account, or use any other method, to obtain additional free trials;
  7. use the Software, its outputs or its behaviour to develop, train, benchmark for publication, or improve a competing product, or to train any machine-learning or AI model;
  8. remove or alter any copyright, trademark or other notice in the Software;
  9. use the Software in breach of any law or of anyone else’s rights, including on footage or music you do not have the right to use.

4. Activation and licence checks

The Software verifies your licence with our servers. To do this it sends your account identifier, a one-way hashed identifier for your Mac, the Mac’s name and the app version. The Software works offline for up to 7 days between checks, never beyond your paid period. You may move your licence to another Mac from inside the app; to prevent abuse we may limit how often a licence can be moved and may deactivate Macs or licences used in breach of this EULA.

5. Trial

The free trial is a 3-day evaluation licence, once per person and per Mac, starting the first time you sign in on your Mac. When it ends, the Software stops working until you buy a plan. The trial is how you confirm the Software works with your Mac, your footage and your workflow before you pay.

6. Updates

We may provide updates, which may add, change or remove features. Some updates may be required to keep using the Software or to keep licence checks working. This EULA applies to all updates unless they come with their own terms.

7. Your content

Your footage, audio, project files and the edits you make remain yours. They stay on your Mac; we do not upload them or claim any rights to them. You are responsible for having the rights to the media you edit.

8. Feedback

If you send us ideas or feedback, we may use them freely without any obligation to you.

9. Third-party components

The Software includes third-party and open-source components that are licensed under their own terms, listed in the Software’s acknowledgements. Nothing in this EULA limits rights those licences grant you for those components.

10. Termination

This EULA applies until it ends. Your licence ends automatically, without notice, if you breach section 3, and we may suspend or terminate it immediately if you breach any other part of this EULA or our Terms, commit fraud, or open an unjustified payment dispute. When the licence ends you must stop using the Software and delete all copies. No refund is due when a licence is terminated for breach. Sections 2, 3, 8 and 10–15 survive termination.

11. Enforcement

A breach of sections 2 or 3 would cause Elijah Studio irreparable harm that money alone cannot fix. In addition to any other remedy, we may revoke licences and close accounts, seek urgent injunctive relief from any competent court, issue takedown notices against copies, cracks or leaked material, and claim damages. To the extent permitted by law, you will compensate Elijah Studio for losses and reasonable costs, including legal fees, arising from your breach of this EULA.

12. No warranty

The Software is provided “as is” and “as available”. It is an assistive editing tool: automatic sync, camera choices and drop markers can be wrong, so always review your edit before delivery and keep backups of your projects and media. To the maximum extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, and we do not warrant that the Software will be error-free or uninterrupted.

13. Limitation of liability

To the maximum extent permitted by law, Elijah Studio is not liable for any indirect, incidental, special or consequential damages, or for lost profits, revenue, data, footage, projects, bookings or business, however caused. Our total liability for all claims relating to the Software is limited to the amount you paid for it in the 12 months before the claim. Nothing in this EULA excludes liability that cannot be excluded by law.

14. Law and disputes

This EULA is governed by the laws of Tunisia. Before starting any claim, you agree to contact us at [email protected] and try in good faith to resolve the dispute within 30 days. The courts of Tunis have exclusive jurisdiction, except that we may seek injunctive relief in any competent court, and except where mandatory consumer law of your country gives you the right to sue in your local courts or to rely on its protections.

15. General

This EULA, our Terms of Service & Sale, Refund Policy and Privacy Policy are the entire agreement between you and us about the Software. If any part is found unenforceable, the rest remains in force and that part is applied to the maximum extent allowed. Not enforcing a right is not a waiver of it. You may not assign this EULA; we may assign it in connection with a sale or reorganisation of the business. You must comply with all export-control and sanctions laws that apply to you. If this EULA is translated, the English version prevails.
